Sr. Corporate Counsel

SUMMARY:

Uses cross-functional general business legal knowledge and highly developed working relationships to influence the future direction of the commercial organization.

ESSENTIAL DUTIES AND RESPONSIBILITIES (include, but are not limited to):

  • Provide legal and business advice to commercial organization on a broad range of topics including review of promotional materials, marketing strategies, salesforce initiatives, and supply chain issues
  • Provide guidance on risks and best practices related to Anti- Kickback Statute, False Claims Act, the Food Drug and Cosmetic Act, HIPAA and other applicable privacy laws
  • Draft and negotiate contracts of varying complexity and value
  • Provide contract interpretation and guidance
  • Provide legal services related to compliance matters and other general legal matters
  • Proactively identify business and legal risks, offer creative solutions and counseling, and collaborate with management to mitigate risks
  • Provide clear ethical guidance in all aspects of work

QUALIFICATIONS:

  • Expertise with respect to corporate compliance and transactional experience is required, including strong contract drafting skills. Prior experience drafting and negotiating clinical research agreements, both sponsored and investigator initiated, is preferred
  • Ability to build consensus with diverse stakeholders and third parties, and form strong, collaborative working relationships with internal clients and external vendors/agencies
  • Ability to present the Company’s point of view and interact with customers, suppliers, peers and senior management in both lead and support roles
  • Ability to manage multiple projects simultaneously and to thrive in a dynamic and fast paced environment
  • Excellent written and oral communication skills, including positive negotiation
  • Proven analytical capacity, superior financial and business judgment; ability to recognize business impact of legal advice
  • Ability to travel on occasion

EDUCATION and/or EXPERIENCE:

  • A juris doctorate degree required plus an active license to practice law in any state (California preferred)
  • 6 years of practice as an attorney in a well-regarded law firm supporting the life science industry and/or in-house medical device or pharmaceutical experience
  • Highly proficient with Microsoft’s Office suite of application software, especially Word.
